1. Introduction

These Terms of Use ("Terms") govern your access to and use of the https://pepasi.io/ website ("Website") and the PEPASI (referred to herein as "PEPASI," "Platform,""we," "us," or "our"). These Terms constitute a legally binding agreement between you, the user of the website and services ("You" or "User"), and PEPASI project.

Hereinafter, PEPASI and the User are collectively referred to as the "Parties", and each individually as a "Party".

2. Definitions

Definitions that are defined in these Terms apply in the singular form as well as in the plural form of these definitions.

2.1. "Terms of Use"
is an end-user agreement (the "Agreement") which should be read by you (the "User" or "you") in its entirety prior to your use of the Website. Be aware that this Agreement constitutes a legally binding agreement between you and the Platform.
2.2. "Token"
is a digital representation of value or rights that can be transferred, stored, and traded in digital form, also created and operated based on a distributed ledger.
2.3. "Digital Wallet"
means a software application (or other mechanism) that provides a means for holding, storing, and/or transferring tokens.
2.4. "Content"
refers to all content generated by the PEPASI, including logos, identifying marks, images, illustrations, designs, icons, photographs, videos, text, any written or multimedia materials, services, advertisements, software, code, data, files, archives, folders, or available downloads on the Website.
2.5. "User"
means any natural person of 18 years of age or older, or age which in light of applicable domestic law entitles him/her to execute legally binding agreements, has full capacity to take legal actions and agrees to obey these Terms.
2.6. "Lock-Up Period"
is a predetermined period during which token holders cannot sell, transfer, or otherwise dispose of their assets.
2.7. "$PEPASI"
is the native token belonging to the Platform, which is an integral part of its ecosystem.
2.8. "DeFi"
is an automated protocol operating autonomously on distributed ledger technology without an identifiable intermediary.
2.9. "Smart Contract"
is a computer program or protocol designed to automatically execute specific actions, such as transferring value between participants without the direct involvement of a third party when certain conditions are met.
2.10. "Staking"
is part of the project's tokenomics that is mathematically calculated by a program and aimed at determining user incentives in digital assets for participating in the project.
2.11. "Tokenomics"
is a set of economic principles, rules, and mechanisms that define the issuance, distribution, utilization, and value of tokens within a Platform.
2.12. "Applicable Law"
means all relevant or applicable statutes, laws (including rules of common law), principles of equity, rules, regulations, regulatory principles and requirements, notices, orders, writs, injunctions, judgments, bye-laws, rulings, directives, proclamations, circulars, mandatory codes of conduct, guidelines, practice notes and interpretations (whether issued by a governmental body, regulatory authority, or other competent body), that are applicable to the provision, receipt, or use of the PEPASI platform, or any other products or deliverables provided, used, or received in connection with the PEPASI platform.

3. General Provisions

The following general provisions govern your use of the Website and the Platform:

3.1. By accessing the Website, including but not limited to using, or clicking on the information provided by PEPASI through the Website, you hereby accept and agree to all the Terms set forth and any other policies referenced herein or available on our Website during its use. You acknowledge and agree that you will be bound by and will comply with these Terms, as updated and amended from time to time.

3.2. We will notify you of any changes by updating the "Last updated" date of these Terms, and you waive any right to receive specific notice of such changes. It is your responsibility to periodically review these Terms to stay informed of updates. By continuing to use the Platform after the revised Terms are posted, you will be considered aware of, and have accepted, the changes.

3.3. The information provided on the Platform is not intended for distribution or use by any person or entity in any jurisdiction or country where such distribution or use would violate laws or regulations or require us to register within that jurisdiction or country. Individuals who choose to access the Platform from other locations do so at their own discretion and are solely responsible for ensuring compliance with applicable local laws.

3.4. The Whitepaper and the Website may be translated into a language other than English for reference purpose only and in the event of conflict or ambiguity between the English language version and translated versions of the Whitepaper or the Website, the English language versions shall prevail. You acknowledge that you have read and understood the English language version of the Whitepaper and the Website.

3.5. You are strongly advised to carefully read these Terms as well as the provisions detailed in our Privacy Policy prior to using our Website and services. By using the Website and the services in any capacity, you agree with all that mentioned below:

  • 3.5.1. You have reviewed and acknowledged these Terms.
  • 3.5.2. You confirm your understanding of these Terms.
  • 3.5.3. You agree to adhere to these Terms, our Privacy Policy, and any other policies referenced herein or accessible on our Website during its use.
  • 3.5.4. You understand and confirm that we are not a crypto wallet provider, exchange, broker, financial institution, or creditor. We organize the Website to provide information, news, updates and organize events related to the ecosystem of PEPASI token.
  • 3.5.5. You may only use the Website for your personal and non-commercial use. Any other use of the Website requires our prior written consent.
  • 3.5.6. You realize and acknowledge that these Terms do not constitute an offer or invitation to subscribe for or to purchase any securities nor solicit any investment in any jurisdiction. You agree to seek professional advice if you are in doubt about any aspect of this Term
  • 3.5.7. You are not the subject of economic or trade sanctions administered or enforced by any governmental authority or otherwise designated on any list of prohibited or restricted parties (collectively, "Sanctioned Person").

3.6. We reserve the following rights, which do not constitute any obligation on our part:

  • 3.6.1. To modify, substitute, eliminate, or add to any of the services, with or without prior notice to you.
  • 3.6.2. To review, modify, filter, disable, delete and remove any and all content and information from any of the services at our sole discretion.

4. Interaction of the Parties

4.1. The User, by utilizing the technical capabilities of the Website, including but not limited to actions aimed at the possibility of obtaining the PEPASI token, fully understands and accepts that such token exchange may be carried out by third parties and/or a decentralized finance application.

4.2. You understand and accept that the Platform has no influence over the distribution of tokens carried out by a decentralized finance application and/or third parties and cannot be held responsible for any actions taken by third parties.

4.3. The User fully understands and explicitly agrees to the condition that when exchanging any token for the PEPASI token, the latter may not be immediately available for use and may be subject to a lock-up period determined by the project.

4.4. The User fully understands and explicitly agrees to the condition that the staking offered by the Platform is a user incentive tool and not a means of earning, investing, or obtaining any other form of benefit or profit.

4.5. You fully understand and explicitly confirm that they have reviewed the Risk Policy stated on the Platform's Website and agree to all its terms.

4.6. The User fully understands and explicitly agrees that they comprehend the nature of the Platform's native token and do not perceive the token as one that will bring future financial benefits. The User does not consider this token as an investment or financial instrument. Additionally, the User acknowledges that the PEPASI token is not a security but rather represents digital value. The primary motivation for obtaining the token is to become part of the project's community.

IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

5. Eligibility

Access to the Website and participation in any campaigns organized by us are limited to individuals and entities meeting the following criteria (each an "Eligible Person"). By accessing the Website, you represent and warrant that:

5.1. You are at least eighteen (18) years old or have reached the age of majority in your jurisdiction, whichever is higher, and possess the legal right, authority, and capacity to accept and comply with these Terms. If you are acting on behalf of a legal entity, you confirm that you have the authority to accept these Terms on behalf of the entity, and "you" will refer to that entity.

5.2. Neither you nor any ultimate beneficial owner, related corporation, director, officer, employee, agent, or representative acting on your behalf:

  • 5.2.1. Are subject to sanctions imposed or enforced by the British Virgin Islands, Singapore, the European Union, the United Nations Security Council, the United States, the Office of Foreign Assets Control (OFAC), or any other governmental authority, including the Monetary Authority of Singapore.
  • 5.2.2. Reside in, are citizens of, or are organized under the laws of any jurisdiction designated as high-risk or subject to international anti-money laundering measures (such as North Korea, Iran, and Myanmar).
  • 5.2.3. You do not reside in, have a registered office in, or operate from the United States (including its territories, dependencies, or states), Afghanistan, Benin, Bhutan, China, Cuba, Syria, Vatican City, Cuba, Iran, North Korea, Syria, Burundi, Democratic Republic of the Congo, Crimea (Ukraine), Luhansk (Ukraine), Donetsk (Ukraine), Iraq, Lebanon, Libya, Nicaragua, Somalia, Sudan, Russia, Venezuela, Yemen, Zimbabwe, or any other jurisdiction subject to comprehensive economic sanctions ("Restricted Territories").
  • 5.2.4. Are politically exposed persons, defined as individuals holding or having held prominent public positions (e.g., heads of state, senior politicians, high-ranking government officials, military officials, executives of state-owned corporations, or senior political party officials).

6. Intellectual Property and License Terms

6.1. All present and future copyright, title, interests in and to the services, registered and unregistered trademarks, design rights, unregistered designs, database rights and all other present and future intellectual property rights and rights in the nature of intellectual property rights that exist in or in relation to the use and access of the Website and services are owned by or otherwise licensed to the PEPASI. Subject to your compliance with these Terms, the Platform grants you a non-exclusive, non-sub license, and any limited license to merely use or access the Website and the services in the permitted hereunder.

The content made available to Users on or through the Website, including but not limited to sound recordings (and the musical works contained within), audiovisual works (and the associated sound recordings and musical works), text, graphics, photos, software, and interactive features, is protected by copyright and other intellectual property rights owned by us or our third-party licensors (collectively referred to as the "Content").

6.2. You are prohibited from copying, reproducing, distributing, publishing, adapting, transmitting, broadcasting, displaying, selling, licensing, or otherwise exploiting any of the Content without prior written consent from us or the relevant third-party licensors. These Terms do not grant you any ownership or rights to our intellectual property or that of third parties. All rights, titles, and interests in and to such property remain exclusively with us or the respective rights holders.

Additionally, we retain exclusive ownership of all design rights, database rights, compilation rights, and other intellectual property associated with the Website, whether registered or unregistered, along with any related goodwill.

6.3. All trademarks, service marks, and logos displayed on the Website are either registered or unregistered trademarks or service marks owned by PEPASI. Any other product or service names that appear on the Website may be trademarks or service marks owned by third parties (collectively referred to as the "Trademarks").

Unless expressly permitted by law, you are prohibited from using the Trademarks in any way that disparages PEPASI or relevant third parties, their products, or services, or in any manner that could harm the goodwill associated with the Trademarks, as determined using commercially reasonable judgment.

You are also prohibited from using any Trademarks as part of a link to or from a Website without obtaining PEPASI's prior express written consent. Any goodwill arising from the use of PEPASI's Trademarks will exclusively benefit PEPASI.

7. Prohibited Activities

By accessing or using the Website or services, you agree not to engage in any of the following prohibited activities:

7.1. General Misuse

  • 7.1.1. Use the Website or services in a manner that could damage, disable, overburden, or impair their functionality or interfere with any other user's ability to access or use the Website.
  • 7.1.2. Attempt to gain unauthorized access to the Website, social accounts, systems, or networks connected to the Website, including through hacking, password mining, or other unlawful methods.
  • 7.1.3. Manipulate, modify, or interfere with the Website or its content, including inserting backdoor code, hacking, or other unauthorized means.

9. Limitation of Liability and Disclaimer of Warranties

The following provisions of this Section 9 apply to the fullest extent permitted by law:

9.1. Neither PEPASI nor its affiliates (collectively referred to as the "Members") make any warranties or representations regarding the services or any content available on the PEPASI platform, including but not limited to their accuracy, completeness, appropriateness, timeliness, or reliability. The Members shall not be liable for the truth, accuracy, or completeness of any content posted on the PEPASI platform, nor for any errors, omissions, delays, or interruptions in the data or information provided on the Platform, regardless of the cause. By using the PEPASI platform, you agree to do so entirely at your own risk.

9.2. The Members do not guarantee that the PEPASI platform will operate error-free or that it and any content available on it are free from viruses, malware, or other harmful components. If your use of the PEPASI platform or its content results in the need for equipment servicing or data replacement, the Members are not responsible for these costs.

9.3. To the fullest extent permitted by law, any disputes arising between you and third parties in connection with the use of the PEPASI platform, including but not limited to carriers, copyright holders, or other users, are exclusively between you and those third parties. You irrevocably release the Members from any and all claims, demands, and damages (whether actual or consequential) of any kind arising out of or in connection with such disputes.

9.4. By using the PEPASI platform, you acknowledge that you have read, understood, and agreed to the Risk Policy available on the website and accept the risks outlined therein. You also acknowledge and accept that the Platform shall not be liable for any potential losses, damages, or other consequences arising from your use of the Platform, including but not limited to fluctuations in token value, technical issues, or actions taken by third parties.

10. Governing Law

10.1. These Terms, their interpretation, and any disputes arising from or related to them, including the use of the Platform, shall be governed by the principles of law generally applicable to agreements executed and performed entirely online, without regard to conflict of law provisions.

Any disputes shall be resolved in accordance with applicable laws and regulations in a fair and reasonable manner, taking into consideration the nature of the agreement and the mutual intentions of the parties involved.

11. Severability

11.1. If any provision of this Agreement is or becomes illegal, invalid, or unenforceable in any jurisdiction, it will not impact the validity or enforceability of the remaining provisions in that jurisdiction or the validity or enforceability of that provision in any other jurisdiction.

12. Privacy Policy

12.1. The Project does not collect private data of its users as defined under GDPR and other applicable regulatory acts in this area that allow for user identification. The Platform does not request, store, or process any personally identifiable information (PII) of its users.

12.2. All data subject to analysis is collected by external parties, such as Google Analytics, in accordance with their respective privacy policies. The Project reserves the right only to record the user's wallet address for operational and security purposes.
